Dover Downs is a hotel, casino, and racetrack complex in Dover, Delaware. It has a .625-mile (1.006 km) harness horse racing track, which is surrounded by Dover International Speedway, a 1-mile (1.6 km) concrete track used for NASCAR motor racing events. The speedway is owned and operated by Dover Motorsports. The rest of the Dover Downs complex is the property of Twin River Worldwide Holdings.
Primary features of Dover Downs Hotel & Casino include a 500-room hotel, dining options, over 2,700 slot machines, 40 table games, and the Rollins Center, an 18,000-square-foot (1,700 m2) multipurpose ballroom which features entertainment as well as hosting business conferences, conventions and banquets. Steelman Partners were the original architects and interior designers in 1995.[1]

The horse track and the speedway opened together in 1969.[2]
In 2002, Dover Downs Entertainment, the complex's parent company, spun off the horse track and casino as an independent company, Dover Downs Gaming & Entertainment.[3] The former parent company changed its name to Dover Motorsports.
A hotel expansion in autumn 2007 added 268 additional rooms, including 52 suites and 11 spa suites, for a total of 500 hotel rooms. This made Dover Downs the largest hotel in Delaware.[4] Toppers Spa/Salon opened in the hotel on December 29, 2007.[5]
Dover Downs began a venture into the online gambling realm in late 2013.[6]
In 2019, Dover Downs Gaming & Entertainment completed a reverse merger with Twin River Worldwide Holdings, a Rhode Island-based company with several casino and racetrack properties.[7][8] Dover Downs shareholders were left with a 7 percent stake in the combined company.[9]
Hotel[edit]
The hotel at Dover Downs offers upscale accommodations with rooms facing both the racetrack and the city. Amenities at the hotel include a full-service spa, fitness room, indoor swimming pool, room service, and concierge.[10] Dover Downs offers space for meetings, banquets, conferences, and conventions, including over 40,000 sq ft (3,700 m2) of function space, the 18,000 sq ft (1,700 m2) Rollins Center ballroom, several meeting rooms, and three hospitality suites offering views of the racetrack.[11]
Casino[edit]
The casino at Dover Downs offers over 2,300 slot machines, 41 gaming tables, and an 18-table poker room.[12] Table games offered at Dover Downs include craps, roulette, and card games such as blackjack, Spanish 21, baccarat, three card poker, pai gow poker, high card flush, 21+3, heads up poker, and Mississippi stud.[13]
Racetrack[edit]
Dover Downs offers live harness racing from November to mid-April and simulcasts of harness and thoroughbred racing year-round.[14] The Race & Sports Book offers sports betting on live and simulcast horse racing along with single-game and parlay betting on professional and college sports (excluding Delaware college teams) including auto racing, baseball, basketball, boxing/MMA, football, golf, hockey, and soccer.[15][16]
Dining, entertainment, and shopping[edit]
Dover Downs offers various entertainment options including entertainers, comedians, concerts, and musical acts. Entertainers and musicians that have performed at Dover Downs include Tracy Lawrence, Boyz II Men, Howie Mandel, Creedence Clearwater Revisited, and the Glenn Miller Orchestra.[17]
Dining options at Dover Downs include upscale restaurants, casual establishments, a coffee shop, and a buffet.[18] Dover Downs is also home to a variety of bars and nightclubs.[19] Dover Downs offers upscale shopping at The Colonnade.[20]

DOVER, Del. & LINCOLN, R.I.--(BUSINESS WIRE)--Dover Downs Gaming & Entertainment, Inc. (NYSE: DDE) and Twin River Worldwide Holdings, Inc. announced today that they have entered into a definitive merger agreement. The proposed transaction will transform Twin River into a publicly traded company with strategically placed gaming and entertainment holdings throughout the United States.
The merger contemplates that Dover Downs stockholders will exchange their Dover Downs stock for Twin River common shares representing 7.225% of the equity in the combined company at closing. Common Stock and Class A Common Stock of Dover Downs will be treated equally in the merger. The transaction is intended to qualify as a tax-free reorganization (except for cash paid in lieu of fractional shares).
Twin River is privately held and there is currently no public market for its shares. As a condition to closing, Twin River will register its shares with the Securities and Exchange Commission (the “SEC”) and list the shares on the NYSE or NASDAQ. For the fiscal year ended December 31, 2017, Twin River’s results were:

Adjusted EBITDA and EBITDA are non-GAAP financial measures. See “Non-GAAP Financial Measures.” As of March 31, 2018, Twin River’s GAAP debt was $381.4 million, unrestricted cash and cash equivalents were $64.8 million and primary shares outstanding were 9.582 million.
The number of Twin River shares to be issued will be calculated based on each company’s fully diluted share count at closing. Based on each company’s share count as of the date hereof, each share of Dover Downs stock would be exchanged for 0.0225 shares of Twin River stock. Twin River contemplates effecting a stock split prior to closing intended to bring its stock price to a marketable trading range, which would result in a corresponding adjustment to the exchange ratio. Twin River also currently intends to initiate a tender offer or other form of return of capital transaction after the closing. The amount and terms will be determined at that time and be based upon prevailing market conditions, Twin River’s financial condition and prospects and other factors.
Dover Downs’ President and CEO, Denis McGlynn stated, “Becoming part of Twin River is transformational for us. Jeffrey W. Rollins, a director and member of the Audit Committee of Dover Downs is expected to join the Twin River Board of Directors post-closing, pending regulatory approval.
A committee of the Board of Directors of Dover Downs comprised of non-executive, independent directors unanimously determined that the transaction is fair to, and in the best interests of, Dover Downs and its stockholders. The Dover Downs Board of Directors has also unanimously approved the transaction, and has recommended that Dover Downs’ stockholders approve the merger. Houlihan Lokey Capital, Inc. provided a fairness opinion to the Dover Downs Board of Directors in connection with the transaction. All directors and executive officers of Dover Downs executed a Voting Agreement by which they agree to vote in favor of the merger, subject to the terms and conditions set forth in the agreement. The approval of a majority of Dover Downs’ unaffiliated stockholders is a condition to closing.
Twin River Executive Chairman John E. Taylor, Jr. said, “We’re excited about the many benefits we believe we will realize from the combination. The merger would provide a physical presence for Twin River in the Mid-Atlantic region, a new geographic market. Twin River already operates assets in the South (Biloxi, Mississippi), West (Aurora, Colorado) and Northeast (Lincoln and Tiverton, Rhode Island (opening shortly)) regions.
The consummation of the merger is also subject to regulatory approvals and other customary closing conditions.
